Executive Committee

Led by Barnett Chenault (Chair)

The Executive Committee shall act on behalf of the Board between regular Board meetings only on matters expressly delegated by the Board or that are time-sensitive and cannot reasonably wait until the next Board meeting. The Executive Committee may include the Board Chair, Vice Chair, Secretary, Treasurer, and the Head of School (ex officio, non-voting unless also a director). The Executive Committee shall not have authority to: amend the Articles or Bylaws; elect or remove directors or officers; approve the annual budget; approve the purchase or sale of real property; incur indebtedness outside the approved budget; or take any action that is required by law to be approved by the full Board. All actions taken by the Executive Committee shall be documented in minutes and reported to and ratified by the Board at the next regular meeting.
